Novated contract construction

Novated contract construction

Novation stands for a consensual replacement of a contract's party or obligation with a new one. The new party takes on the obligation of the original party, thus completely releasing the former party of that obligation. The novation agreement must be signed by the transferor, the transferee, and the counterparty (the other contracting party). The novated design and construct (ND&C) contract is one of the increasingly preferred options among developers of large commercial and residential projects across Australia. As a consequence of novation, the design team's obligation to the client gets transferred to the contractor who becomes responsible for carrying out the detailed design work at a later stage of project life cycle. PLC Construction recently received an enquiry asking whether it is possible to novate part of a contract. This question is relevant to several areas of construction law. For example, if a professional consultant enters into a Novation clause (building contract) This Precedent clause is drafted for inclusion in a building contract to deal with the novation of design consultants. The contractor is required to enter into the novation agreements and to assume responsibility for the designs of the consultants whether prior to or after the novation has occurred. The seller of a business transfers the contracts with his customers and suppliers to the buyer. A novation agreement should be used to transfer each contract. A design and build contractor in the construction industry transfers a construction contract to a new, substitute contractor. A novation is necessary. Novation is the act of substituting a valid existing contract with a replacement contract, where all concerned parties mutually agree to make the switch.
